Sigma Labs, Inc. (NASDAQ:SGLB) (“Sigma Labs” or the “Company”), a leading developer of quality assurance software for the commercial metal 3D printing industry, today announced the pricing of an underwritten public offering of 1,488,507 shares of common stock at a public offering price of $3.00 per share. The Company has granted the underwriter a 30-day option to purchase up to an additional 223,276 shares of common stock. The offering is expected to close on or about January 12, 2021, subject to customary closing conditions.
H.C. Wainwright & Co. is acting as the sole book-running manager for the offering.
The gross proceeds of the offering are expected to be approximately $4.5 million, prior to deducting underwriting discounts and commissions and estimated offering expenses and excluding the exercise of the underwriter’s option to purchase additional shares. Sigma Labs intends to use the net proceeds from this offering for the Company’s operations, including the development and marketing of the Company’s products and services and working capital and general corporate purposes.
The shares of common stock are being offered pursuant to an effective registration statement on Form S-3 (File No. 333-225377) that was filed with the U.S. Securities and Exchange Commission (“SEC”) on June 1, 2018 and declared effective on June 14, 2018.
